Terms of Service

1. Agreement

By creating an account or using Cambrian Catalyst ("the Service"), operated by Cambrian Catalyst LLC ("we", "us", "our"), you agree to these Terms. If you don't agree, don't use the Service. It's that simple.

2. What the Service Does

Cambrian Catalyst is an AI-powered sales intelligence and preparation platform. We provide live-research briefs, Ideal Customer Profile analysis, fit scoring, deal strategy, conversation coaching, and CRM integration tools to help B2B sales professionals prepare for and execute sales conversations more effectively.

The Service uses AI models and live web research to generate content. While we work hard to make that content accurate, it is generated by AI and should be verified before use in business-critical decisions.

3. Your Account

You must provide accurate information when creating an account
You're responsible for maintaining the security of your login credentials
You must be at least 18 years old to use the Service
One person per account — don't share credentials. If you need multiple seats, use our Team or Enterprise plans
Notify us immediately if you suspect unauthorized access to your account

4. Organizations and Teams

If you create or join an organization on the platform:

Organization admins can view team members' session metadata (not full brief content) for reporting purposes
Organization admins can manage roles, plans, and billing for the organization
If you leave an organization, your personal account data remains yours. Session data created under the organization's plan may be retained by the organization.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or to facilitate fraud
Attempt to extract, reverse-engineer, decompile, or reproduce our proprietary knowledge layers, scoring algorithms, framework content, or prompt engineering
Share account credentials or allow unauthorized access
Use automated tools, bots, or scripts to scrape, bulk-access, or stress-test the Service
Interfere with the Service's operation, security, or infrastructure
Use the Service to generate content that is defamatory, discriminatory, or deliberately misleading
Resell, sublicense, or white-label the Service or its output without written permission
Circumvent usage limits, rate limits, or billing controls

6. Your Content

You own the data you input (company information, ICP configurations, uploaded documents, notes). You grant us a limited license to process that data for the purpose of providing the Service.

AI-generated output (briefs, hypotheses, coaching) is provided for your business use. You may use it in your sales activities, CRM, and internal communications. You may not resell or redistribute the raw output as a competing product or data service.

7. Our Intellectual Property

The following are proprietary to Cambrian Catalyst and protected as trade secrets and/or copyrighted works:

Knowledge layers (27+ industry and process intelligence modules)
Fit scoring algorithms and calibration heuristics
RIVER discovery framework implementation
Prompt engineering, system prompts, and AI orchestration logic
Anti-hallucination guardrails and citation verification systems
Platform source code, design, and user interface

8. CRM Integrations

When you connect a third-party CRM (e.g., HubSpot):

You authorize us to push session data to your CRM on your behalf
Data flows one way: from Cambrian to your CRM. We do not import or modify your existing CRM data beyond checking for duplicate company records.
You can disconnect the integration at any time from Settings. Disconnecting revokes our access and deletes stored tokens immediately.
You are responsible for ensuring that the data pushed to your CRM complies with your organization's data handling policies

9. AI-Generated Content Disclaimer

Briefs, analysis, scoring, and coaching output are generated by AI using live web research, proprietary knowledge layers, and the information you provide. While we invest significantly in accuracy (anti-hallucination systems, citation verification, ground-truth regression testing):

AI-generated content may contain errors, especially for private companies with limited public data
Executive names, titles, and career details should be verified before use in outreach
Revenue figures, employee counts, and financial data are sourced from public information and may be outdated
You are responsible for verifying facts before relying on them in business decisions

10. Plans, Billing, and Rollover Credits

The Service offers a free trial (5 runs) and paid monthly plans (Starter, Pro, Team, Enterprise)
Paid plans are billed monthly via Stripe. Your card is charged at the start of each billing cycle.
Usage (runs) is tracked per organization. Unused runs roll over to the next month, up to a maximum of one month's allocation. For example: a Starter plan (25 runs/month) with 5 unused runs at month-end starts the next month with 30 available runs (25 new + 5 rollover).
Rollover credits are provided as a courtesy and carry no cash value. They are non-refundable and non-transferable.
Trial plans (5 free runs) do not accumulate rollover credits.
Plan changes take effect immediately. Downgrades are prorated.
We reserve the right to change pricing with 30 days' notice to active subscribers

11. Refunds and Cancellation

If you cancel, you are eligible for a refund of the current billing month only. Rollover credits from previous months carry no cash value and are not refundable. For example: if you have 5 rollover runs + 25 new runs and cancel in week 1, you receive a refund for the $99 current-month charge. The 5 rollover runs are forfeited.

Refund requests must be made within 14 days of the most recent payment. After 14 days, refunds are handled case-by-case. Contact joe@cambriancatalyst.ai.

12. Suspension and Termination

We may suspend or terminate your access for material violations of these Terms, including but not limited to: reverse engineering, credential sharing, automated abuse, or non-payment
You may cancel your account at any time by contacting us
Upon cancellation, your data will be deleted within 30 days of your written request
Sections 5, 7, 10, and 14 survive termination

13. Availability

We aim for high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for downtime.

14. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law:

We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
We are not liable for any business decisions made based on AI-generated content
Our total aggregate liability for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater

15. Indemnification

You agree to indemnify and hold harmless Cambrian Catalyst LLC, its officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

16. Governing Law

These Terms are governed by the laws of the State of Washington, USA. Any disputes will be resolved in the courts of King County, Washington, unless mutually agreed to use binding arbitration.

17. Changes to These Terms

We may update these Terms as the platform evolves. We'll notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cambrian Catalyst LLC regarding use of the Service.
